1. PROMOTION DESCRIPTION: The Indy Pass “Japan Giveaway” Contest (“Giveaway”) begins on November 17, 2025 at 8:00 AM Pacific Standard Time (PST) and ends on December 1, 2025 at 11:59 PM PST. (“Promotion Period”). The sponsor of this Giveaway is Indy Pass (“Sponsor”). By participating in the Giveaway, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Sponsor, which shall be final and binding in all respects. Sponsor is responsible for the collection, submission or processing of Entries and the overall administration of the Giveaway. Entrants should look solely to Sponsor with any questions, comments or problems related to the Giveaway. Sponsor may be reached by email at [email protected] during the Promotion Period.
2. ELIGIBILITY: Open to legal residents of the United States (except residents of New York, Rhode Island, or Florida) and Canada who are 18 years or older as of November 17, 2025 (“Entrant”). Sponsor, participating resorts and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the “Promotion Entities”), are ineligible to enter the Giveaway or win a prize. Household Members and Immediate Family Members of such individuals are also not eligible to enter or win. “Household Members” shall mean those people who share the same residence at least three months a year. “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. This Giveaway is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.
3. HOW TO ENTER: Enter the Giveaway by: 
   1. signing up on Enter to win the Japan Giveaway form at Indyskipass.com/japan-ski-trip-giveaway during the Promotion Period. By signing up, you agree to subscribe to the email newsletter for both Indy Ski Pass and Japan Ski Tours; and
   2. by commenting on the identified introductory post made by the official Indy Pass Instagram account (@indyskipass) during the Promotion Period. 

Entry must be made by the Entrant during the Promotion Period, and is limited to one entry per person. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/Giveaway subscription notification and/or entering services, will void Entrant’s Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth above and Sponsor’s sole, exclusive, and final discretion. Sponsor’s database clock will be the official timekeeper for this Giveaway. 

4. PRIZE: One winner will receive a ski vacation for two people to Japan valued at $8,000 actual retail value (“ARV”) (the “Prize”), which includes: two 2025/2026 Indy Base Passes; a $1,000 travel stipend in the form of a digital gift card; and two spots in Japan Ski Tour’s 10-Day Tohuku Tour that is valid during the following available dates: Jan 3-12, 2026; January 7-16, 2026; January 24-February 2, 2026; February 18-February 27 2026, or between January and February of 2027. Tohuku Tour includes: 9 nights’ accommodation with daily breakfast and dinner; all ground transport between resorts and pick-up/drop-off at key stations; a dedicated English-speaking trip host throughout the journey; cultural experiences and group dinners featuring local cuisine; and up to 9 days of skiing.

Prize is non-transferable, and no substitutions or cash redemptions will be made, other than as provided herein. Sponsor reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The ARV of the prize represents Sponsor’s good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated ARV, the difference will not be awarded in cash. Sponsor makes no representation or warranty concerning the appearance, safety, or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Sponsor will not replace any lost or stolen prize items. Failure to comply with the Official Rules will result in forfeiture of the prize. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. 

Images pictured in advertising, marketing or promotional materials are for illustrative purposes only. In the event there is a discrepancy or inconsistency between statements contained in any such materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern, and control. Prize is awarded “as is” with no warranty or guarantee, either express or implied. Any applicable taxes and all other costs/expenses not specifically identified in these Official Rules are the sole responsibility of each winner. The Sponsor is not responsible for any cancellations, delays, diversions or substitutions, or any act or omission whatsoever with respect to any Prize. The Sponsor reserves the right, at its sole discretion, to substitute an alternative prize, in whole or in part, of at least equal value, if Prize cannot be awarded, in whole or in part, for any reason. 

5. WINNER SELECTION: The Winner of the Giveaway will be selected in a random drawing from among all eligible Entries received throughout the Promotion Period. The random drawing will be conducted at 8:00 AM PST on December 1, 2025. Odds of winning will vary depending on the number of eligible Entries received during the Promotion Period. The number of entries received during the Promotion Period will materially affect the chances of winning.
6. WINNER NOTIFICATION: Winner will be notified by email (from [email protected]) by 8:00 AM PST on December 2, 2025 to confirm acceptance of prize. If the winner cannot be contacted, does not respond by December 3, 2025 at 11:59 PM PST, or is deemed ineligible for the prize, then the winner forfeits his/her prize and an alternate winner will be randomly selected following the same procedures. The potential prize winner may be required to sign and return an affidavit of eligibility, release of liability, and a Publicity Release (“the Prize Claim Documents”). No substitution or transfer of a prize is permitted except at Sponsor’s sole discretion. Avoid fraudulent emails. We will not ask for credit card numbers via email.
7. PRIVACY AND USE OF LIKENESS: Any personal information supplied by you will be subject to the privacy policy of the Sponsor, available here: https://www.indyskipass.com/privacy-policy. By entering the Giveaway, you grant Sponsor permission to share information collected in connection with this Giveaway with any third party necessary to execute the Giveaway and/or deliver the gift(s), and such third party will use such information in accordance with Sponsor’s privacy practices, including but not limited to Japan Ski Tours. You also grant permission to sponsor partners for the purpose of administration and prize fulfillment, including use in a publicly available Winner list. You grant permission to opt into marketing emails from Sponsor and Japan Ski Tours. By entering, Entrant agrees to, where legal, Sponsor and its designees’ use of his/her name, city of residence and/or likeness, including for advertising and publicity purposes in any and all media now or hereafter known throughout the world in perpetuity without further compensation, permission, or notification and, upon request, will provide consent to such use in writing.
8. LIMITATION OF LIABILITY AND INDEMNIFICATION: By participating, Entrant agrees to release, indemnify and hold harmless Instagram, Sponsor, and its respective divisions, affiliates, subsidiaries, officers, directors, employees, agents, and representatives from any injury, loss, or damage to person, including death, personal injury or loss or damage to property due in-whole or in-part, directly or indirectly to the acceptance or use/misuse of a Prize, participation in any promotion or Prize-related activity, or participation in the promotion. Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Giveaway; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Giveaway; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participant’s or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Giveaway or download of any materials in the Giveaway.
   If, for any reason, the Giveaway is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, pandemic outbreak or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Giveaway, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Giveaway in whole or in part. In such an event, Sponsor shall immediately suspend all drawings and prize awards, and Sponsor reserves the right to award any remaining prizes (up to the total ARV as set forth in these Official Rules) in a manner deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not have any further liability to any participant in connection with the Giveaway. Sponsor is not responsible for any typographical or other error in the printing of this offer, administration of this Giveaway or in the announcement of the winner and gift.
9. GOVERNING LAW/WAIVER OF JURY TRIAL: These Official Rules shall be governed by and construed exclusively in accordance with the laws of the State of Colorado notwithstanding any conflict of or choice of laws principles. In the event a court or other tribunal of competent jurisdiction rules that the provisions of these Official Rules governing Dispute Resolution, below, or any provision therein is invalid or otherwise unenforceable, Entrants hereby expressly (a) irrevocably accept and submit to the exclusive jurisdiction of any state court sitting in the City & County of Denver, State of Colorado (the “Agreed Courts”) in respect of any suit, action or proceeding arising out of or relating in any way to these Official Rules, and irrevocably accepts for itself and in respect of its property the jurisdiction of such courts; (b) waives, to the fullest extent it may do so effectively under applicable law, any objection it may have to the laying of the venue of any such suit, action or proceeding brought in any such court and any claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum; (c) waives any right of removal to the United States federal courts; and (d) waives any right to seek any aid or assistance of any kind in the United States federal courts. TO THE FULLEST EXTENT NOT PROHIBITED BY APPLICABLE LAW, WHICH CANNOT BE WAIVED, ENTRANT AND SPONSOR HEREBY KNOWINGLY, VOLUNTARILY, INTENTIONALLY AND IRREVOCABLY WAIVE ANY AND ALL RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING TO ENFORCE OR DEFEND ANY RIGHT, POWER, REMEDY OR DEFENSE ARISING OUT OF OR RELATED TO THESE OFFICIAL RULES, WHETHER SOUNDING IN TORT OR CONTRACT OR OTHERWISE, OR WITH RESPECT TO ANY COURSE OF CONDUCT, COURSE OF DEALING, STATEMENTS (WHETHER VERBAL OR WRITTEN) OR ACTIONS OF ANY PARTY RELATING TO THESE OFFICIAL RULES; AND AGREE THAT ANY SUCH ACTION OR PROCEEDING SHALL BE TRIED BEFORE A JUDGE AND NOT BEFORE A JURY. ENTRANT AND SPONSOR FURTHER WAIVE ANY RIGHT TO SEEK TO CONSOLIDATE ANY SUCH LITIGATION IN WHICH A JURY TRIAL HAS BEEN WAIVED WITH ANY OTHER LITIGATION IN WHICH A JURY TRIAL CANNOT OR HAS NOT BEEN WAIVED.
10. INSTAGRAM: This Giveaway is in no way sponsored, endorsed, or associated with Instagram, and Entrant acknowledges understanding and knowledge of the same. 
11. SEVERABILITY: If any term or other provision of these Official Rules is held by a court of competent jurisdiction to be invalid, illegal, or incapable of being enforced by any rule of law or public policy, all other conditions and provisions of these Official Rules shall nevertheless remain in full force and effect to the maximum extent possible.
12. WINNER LIST/OFFICIAL RULES: To obtain a copy of the Winner List or a copy of these Official Rules, send your request along with a stamped, self-addressed envelope to Indy Pass at 21 Ten Mile Dr, Granby, CO 80446. Requests for the name of the winner must be received no later than six months after the Promotion Period has ended. The winner list will be posted after winner confirmation is complete.

PRIX

Si le gagnant ne répond pas avant le 3 décembre 2025 à 23 h 59 HNP, il perd son prix et un autre gagnant sera sélectionné. Le gagnant pourrait devoir signer une déclaration d’admissibilité, une décharge de responsabilité et une autorisation de publicité. Aucune demande d’informations de carte de crédit ne sera faite par courriel.

CONFIDENTIALITÉ ET DROITS À L’IMAGE

Les renseignements fournis sont assujettis à la politique de confidentialité du Commanditaire. En participant, vous autorisez le Commanditaire à partager l’information avec les tiers nécessaires à l’exécution du Concours, incluant Japan Ski Tours. Vous autorisez l’utilisation de votre nom, ville de résidence et image, lorsque permis par la loi, à des fins publicitaires sans rémunération supplémentaire.

LIMITATION DE RESPONSABILITÉ ET INDEMNISATION

En participant, vous acceptez de dégager Instagram, le Commanditaire et leurs affiliés de toute responsabilité relative à des blessures, pertes ou dommages découlant de la participation ou de l’utilisation du Prix. Le Commanditaire n’est pas responsable des erreurs techniques, interruptions de service, accès non autorisés ou dommages aux appareils des participants.

Si le Concours ne peut être mené comme prévu pour des raisons hors du contrôle du Commanditaire (virus informatique, fraude, problèmes techniques, pandémie, etc.), celui-ci se réserve le droit de modifier, suspendre ou annuler le Concours.

DROIT APPLICABLE / RENONCIATION AU PROCÈS DEVANT JURY

Les règles sont régies exclusivement par les lois du Colorado. Les participants acceptent de se soumettre aux tribunaux étatiques de Denver, Colorado, et renoncent à tout droit à un procès devant jury.
